Private Placement Opportunity

On behalf of the Directors of Aorere Resources Limited, I am pleased to offer you an opportunity to participate in this Private Placement Opportunity which will close on 5 December 2025. Your directors will be participating in this financing and are offering Eligible Investors the opportunity to acquire shares in Aorere for an Issue Price of $0.01 (one cent) per share without any brokerage or transaction costs. This offer price equates to the net asset backing per share as at 30 September 2025.

Aorere recently published its 2025 annual report which advised of the proposed future strategy. 

  1. To support and monitor the anticipated recovery of our three major investments (Chatham Rock Phosphate, Decklar Resources and Transition Resources).

  2. Also to acquire one or more profitable businesses, and to re-list the Company on a recognised Stock Exchange.

  3. The operating costs of the Company have been predominantly funded by loans from directors (also major shareholders) for several years.

  4. In the immediate future it is proposed to convert a substantial proportion of these director advances into equity (shares) on the same terms as this offer being made to eligible shareholders and new investors

  5. This conversion of the director loans to equity will significantly strengthen the Company’s balance sheet and assuming that the offer now being made to others is supported this will provide further working capital.

  6. Both steps will ensure that the Company has a brighter future and we look forward to achieving a third renaissance.  

Application of Funds Raised

Aorere has been seeking to identify a suitable business to acquire by way of a reverse takeover (meaning that we issue shares to acquire the opportunity). The capital raised by this offer will allow Aorere to meet its basic compliance costs while we progress our investigations to identify and pursue the acquisition of such a suitable business and expand Aorere’s assets.
